Semi annual enterprise channel means that feature updates for O365 will be released twice in a year that is in month of jan and july. This is for those organisations where extensive testing is required before rolling out updates.
Office upgrade in layman language you can say it complete suite upgrade for example upgrading from office 2013 to O365.
